01
Term sheet against the facility agreement
The term sheet is compared with the facility agreement.
The commitment, margin, financial covenants, events of default and key definitions are checked. Differences, including where the facility is silent, are noted with the clause.
02
The redline and issues list
The other side’s markup is read against the firm’s playbook and the term sheet.
Changes to the firm’s usual positions are identified. These are turned into an issues list that names the clause, the other side’s proposal and the firm’s position, ready for the call.
03
Security package against the facility
The full set of security documents (debenture, share charge, mortgage and others) is reviewed together against the facility.
Parties, amounts, definitions and cross-references are checked across the package. Mismatches are flagged in one place with the relevant clause.
04
Conditions precedent
The conditions precedent in the facility are extracted and listed.
Each item is shown with the responsible party and its status, so outstanding consents, approvals, security documents and other deliverables are clear before drawdown.
05
Research and precedent
A specific question on a clause or point is researched against the firm’s precedents and the materials loaded.
Relevant clauses from previous matters, and how they were treated, are returned with the source, so the lawyer can see the firm’s position quickly.
On this work, the same rules.
Private and Local
It can run inside the firm, with no connection out. We never see the files, and a model provider never does. There is no outside copy to keep or to train on.
Only who needs it
Access is limited by person, by matter, and by practice. The admin sets each role. Every action is logged, and can be traced.
Your way of working
It follows your past matters, your wording, and your playbook. A review looks for what your team already treats as important.
Edits you can see
The change is made in the file you already have. Layout and numbering stay. You get track changes, and each answer points to its source.
Ready on day one
Jurisdiction-specific material is already there, from legislation, government, and regulators. So are skills for this kind of work.

Questions
- What if the facility agreement does not match the term sheet?
- Missing terms, changed terms, and terms that were not in the term sheet are flagged. Every difference links back to the clause. The lawyer still decides what is signed.
- What if the security documents do not match the facility?
- A mismatch in parties, amounts, or definitions is flagged, with the clause it came from. The documents come back for review. The lawyer still decides what is signed.
- Does Makebell train on our facility agreements?
- No. The system runs on the firm’s machines. Makebell cannot see the documents, and the model provider cannot see them. There is no data to train on.
- Who has access to a facility’s files?
- Only the people the firm gives access to. Documents are separated by person, by matter, and by practice. The firm’s administrator sets the rights. Every action is written to an audit log. Makebell cannot open the files.
- What if we do not have the hardware?
- What you need depends on the size of the team and on how the system will be used. Talk to us. We will assess that and recommend what to buy, or what to lease.
