In-house

For the counsel inside the company.

Your playbooks, your policies, and your last documents, applied to what the business sends. The review is faster. The outside bill is smaller. The files stay on your machines.

For the counsel inside the company. The files stay on the company’s machines.

The papers

  • Commercial contracts
  • Employment documents
  • Privacy notices
  • Board papers
  • Outside counsel

Why a team uses it.

01

While the deal is still live

The contract is reviewed against the positions the team already uses.

A marked-up draft is prepared from the company’s own template. The markup stays inside the company until someone on the team accepts it.

02

One standard, for the whole team

The positions are set once.

Every review uses them, including for a colleague who started this week. Liability, term, termination and governing law are checked the same way on the first contract and the twentieth.

03

Contract intelligence

The same questions are asked across the vendor and commercial contracts the company already has.

Each answer points to the clause. Contracts that sit outside the company’s positions are identified and can be reviewed together rather than one by one.

04

A smaller instruction to counsel

Routine review stays inside the company.

When outside counsel is instructed, the emails already contain a brief and a chronology. The question that is sent is narrower.

05

General matters and research

Employment letters, privacy notices, policies and board papers are drafted from the company’s own documents and previous versions.

An offer is checked against the Employment Ordinance. A notice follows the company’s privacy policy. A listed announcement follows the last one of that kind. A specific question is researched against the company’s positions and previous advice, with the source shown.

On this work, the same rules.

Private and Local

It can run inside the company, with no connection out. We never see the files, and a model provider never does. There is no outside copy to keep or to train on.

Only who needs it

Access is limited by person, by matter, and by team. The admin sets each role. Every action is logged, and can be traced.

Your way of working

It follows your past work, your wording, and your playbook. A review looks for what your team already treats as important.

Edits you can see

The change is made in the file you already have. Layout and numbering stay. You get track changes, and each answer points to its source.

Ready on day one

Jurisdiction-specific material is already there, from legislation, government, and regulators. So are skills for this kind of work.

Questions

Does a reply go back to the business on its own?
No. A lawyer on your team accepts the changes first. The system does not send them.
Will this replace outside counsel?
No. Routine reviews can stay in-house. A matter that needs external counsel still goes out, with a brief and a chronology already prepared.
Does it use our positions, or a generic checklist?
Your playbook, your policies, and your last documents. A term you do not use is not written in.
Where do the contracts sit?
On the company’s machines. Makebell cannot see them, and a model provider cannot see them. There is no data to train on.
What if we do not have the hardware?
What you need depends on the size of the team and on how the system will be used. Talk to us. We will assess that and recommend what to buy, or what to lease.
